The terms governing all ZargoLogix freight forwarding, logistics, and related services. Please read carefully before booking.
These Terms and Conditions ("Terms") govern your use of the ZargoLogix International Inc. ("ZargoLogix", "we", "us", "our") website and all logistics, freight forwarding, customs brokerage, and related services (the "Services"). By engaging ZargoLogix for any Service, requesting a quote, or using our website or client portal, you agree to be bound by these Terms.
These Terms incorporate by reference the standard trading conditions of FIATA (International Federation of Freight Forwarders Associations) and applicable national freight forwarding trade association terms, except where expressly varied herein.
1. Acceptance of Terms
By requesting a quote, confirming a booking, or otherwise instructing ZargoLogix to provide Services, you ("Client") confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any service-specific terms communicated at the time of booking.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
2. Description of Services
ZargoLogix provides international freight forwarding and logistics services including, but not limited to: air freight, ocean freight, road transport, rail freight, warehousing and distribution, customs brokerage, cold chain logistics, project cargo, dangerous goods handling, diplomatic cargo, e-commerce logistics, and last-mile delivery.
ZargoLogix acts as a freight forwarder and, in this capacity, may act as agent for the Client in arranging carriage, customs clearance, and ancillary services with third-party carriers, customs authorities, and other service providers. ZargoLogix does not itself operate vessels, aircraft, or vehicles for international carriage unless expressly stated.
3. Quotes & Bookings
All quotations provided by ZargoLogix are estimates based on the information provided by the Client at the time of the request and are valid for the period stated in the quotation (typically 14 days unless otherwise specified).
- Quotes are subject to carrier rate fluctuations, fuel surcharges, and currency exchange variations
- Final charges may vary from the quoted estimate based on actual cargo weight, dimensions, and declared value verified at origin
- A booking is confirmed only upon written confirmation from ZargoLogix, not upon submission of a quote request
- The Client is responsible for providing accurate cargo descriptions, weights, dimensions, and HS codes
4. Client Obligations
The Client warrants and undertakes that:
- All information provided regarding the cargo (description, weight, dimensions, value, hazard classification) is accurate and complete
- The cargo is properly packed, marked, and labelled in accordance with applicable regulations
- The Client holds all necessary licences, permits, and authorisations for the export, import, and transport of the cargo
- The cargo does not contain prohibited or undeclared dangerous goods unless properly declared and accepted by ZargoLogix in advance
- All customs declarations and supporting documents provided are true and accurate
The Client shall indemnify ZargoLogix against any loss, damage, fines, penalties, or liability arising from inaccurate, incomplete, or misleading information provided by the Client.
5. Liability & Limitation of Liability
ZargoLogix's liability for loss or damage to cargo is governed by the applicable international convention for the relevant mode of transport, including but not limited to:
- Air: Montreal Convention 1999 (or Warsaw Convention where applicable)
- Ocean: Hague-Visby Rules or applicable national carriage of goods by sea legislation
- Road: CMR Convention (international road transport)
- Rail: COTIF/CIM Convention
Where no international convention applies, ZargoLogix's liability is limited to the lesser of: (a) the actual value of the goods lost or damaged, or (b) the limits set out in FIATA Model Rules for Freight Forwarding Services or applicable national freight forwarding trade terms. ZargoLogix shall not be liable for indirect, consequential, or special damages including loss of profit, loss of market, or business interruption.
We strongly recommend Clients purchase cargo insurance for the full declared value of their shipment (see Section 8).
6. Payment Terms
Unless otherwise agreed in writing, payment terms are as follows:
- Invoices are due within 14 days of invoice date unless a credit agreement specifies otherwise
- Approved credit account clients may receive 30- or 60-day terms subject to credit assessment
- ZargoLogix reserves a general lien over cargo in its possession or control until all outstanding charges are paid in full
- Late payments accrue interest at 1.5% per month or the maximum permitted by applicable law
- ZargoLogix reserves the right to require advance payment or a deposit for new clients or high-value shipments
7. Cancellation Policy
Cancellation requests must be submitted in writing. Cancellation charges may apply as follows:
- Air/Ocean freight bookings cancelled after carrier space confirmation: carrier cancellation fees apply (typically 25-100% depending on notice period)
- Customs brokerage services already commenced: charged on a time-and-materials basis for work performed
- Warehousing services: 30 days' written notice required for termination of ongoing storage arrangements
8. Insurance & Claims
ZargoLogix offers optional cargo insurance (All Risk, Named Perils, Total Loss) covering the declared value of shipments. Insurance must be requested and confirmed at the time of booking; ZargoLogix is not automatically liable for the full value of uninsured cargo beyond the limitations set out in Section 5.
Claims for loss, damage, or shortage must be notified to ZargoLogix in writing within 7 days of delivery (or non-delivery) and supported by appropriate documentation including photographs, surveys, and commercial invoices. Claims notified outside this period may be rejected by carriers and insurers.
9. Customs & Compliance
The Client authorises ZargoLogix to act as its customs broker/agent for the purposes of import and export clearance, including the submission of declarations to customs authorities on the Client's behalf. The Client remains the importer/exporter of record and bears ultimate legal responsibility for the accuracy of customs declarations, payment of duties and taxes, and compliance with all applicable trade regulations.
ZargoLogix shall not be liable for delays, fines, or seizures arising from the Client's failure to provide accurate information, hold required licences, or comply with restricted/prohibited goods regulations in the destination jurisdiction.
10. Intellectual Property
All content on the ZargoLogix website, including text, graphics, logos, and software, is the property of ZargoLogix International Inc. or its licensors and is protected by copyright and trademark law. You may not reproduce, distribute, or create derivative works without our prior written consent.
11. Force Majeure
ZargoLogix shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to: acts of God, war, terrorism, civil unrest, pandemic, governmental action, port congestion, carrier strikes, fuel shortages, extreme weather, or failure of third-party carriers or customs authorities.
12. Dispute Resolution
The parties shall first attempt to resolve any dispute through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration under the rules of the American Arbitration Association (or, for international disputes, the ICC International Court of Arbitration), with the seat of arbitration in Reno, Nevada, USA, conducted in the English language.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Nevada, USA, without regard to conflict of law principles, except where superseded by mandatory international conventions referenced in Section 5.
14. Changes to These Terms
ZargoLogix reserves the right to amend these Terms at any time. Material changes will be notified to active clients via email. Continued use of our Services after such notification constitutes acceptance of the revised Terms. The Terms in effect at the time of a specific booking shall govern that booking.
